Where these dates come from

Form 10-K is due 60, 75, or 90 days after fiscal year end depending on whether you are a large accelerated, accelerated, or non-accelerated filer; Form 10-Q is due 40 or 45 days after each of the first three quarters. When a deadline lands on a Saturday, Sunday, or federal holiday, Rule 0-3 moves it to the next business day. A Form 12b-25 filed within one business day of the due date buys 15 more calendar days on an annual report and 5 on a quarterly one — if the rule's conditions are met. And the proxy statement must be on file within 120 days of year end if your 10-K incorporates Part III from it, which most do.
